Organizing Documents, Constitution, and By-Laws

Mission Statement
To build positive relationships between Ford Commercial Dealer Personnel, Manufacturers, Vendors, and Ford Motor Company employees through education, shared ideas, and personal interaction for the mutual benefit of all concerned.

Article I: Title
This organization shall be known as the CAROLINA'S FORD TRUCK CLUB.

Article II: Objectives
2.1  The objective of this organization is to further the member's knowledge and promote the safe use of our products and related products, exchange ideas, and provide fellowship.

Article III: Membership
3.1  Membership shall be open to individuals and businesses that are associated through employment of    professional association with selling, manufacturing, servicing, or otherwise promoting Ford trucks.

3.2  Annual membership shall run from Jan. 1st to Dec. 31st per calendar year. Club Dues are to be paid    
        effective Jan. 1st, but at least by March 31st to avoid penalties. Penalties will be assessed in addition to the current year's dues and will be established by the Executive Committee annually.

Article IV: Officers, Terms, & Duties
The officers shall be President, Vice President, A Secretary, and a Treasurer. These elected officers shall constitute the Executive Committee. The officers will be elected from the active membership. Officers serve on a volunteer basis and shall not receive any compensation for services.

4.1  President shall preform, but not limited to the duties below:
a)  Will preside at all meetings and carry out the duties generally ascribed to this office; preserve order and regulate discussions.
b)  Will be the official liasion between the Carolina's Ford Truck Club and all business associates.
c)  Will appoint committee chairs.

4.2  Vice President shall perform, but not limited to the duties below:
a)  Will assist the President in his/her duties and preside at meetings in the absence of the President.
b)  Will succeed the President in the case of a vacancy in the office until the next regularly scheduled election.
c)  Will coordinate, identify, and cultivate projects to raise funds for the club.
d)  Will have primary responsibility for membership.

4.3  Secretary shall preform, but not limited to the duties below:
a)  Will issue timely distribution of the minutes to the membership and administration.
b)  Will maintain permanent records of the club.
c)  Assist in maintaining the membership rolls.

4.4  Treasurer shall perform, but not limited to duties below:
a)  Prepare a monthly financial report for the executive committee and membership.
b)  Will be responsible for the timely payment of bills and expenses.

4.5  Qualifications for Executive Committee Members:
a)  A candidate for office shall be an active member and in good standing for at least one year prior to nomination.
b)  No member shall hold more than one office at a time.
c)  A candidate for President shall have served as an officer prior to nomination.
d)  Multiple employees of the same company are not eligible for nomination.

4.6  Nominations and Elections
4.6.1  The term of the office shall be two years and for no more than two consecutive terms for the same office.

a)  Nominations

  • Executive Committee will consider qualified candidates for office. Anyone interested should notify the entire Executive Committee in writing on or before November 1st.
  • An approved slate of candidates will be presented to the membership for affirmation.

b) Vacancies

  • A vacancy in the office of President shall be filled by the Vice President.
  • Vacancies in the other offices shall be filled by appointment of the Executive Committee.

Article V: Meetings
5.1  Regular meetings shall be held at the discretion of the Executive Committee.
a)  Meeting location will determine by and communicated to membership
by the Executive Committee.
b)  No quorum is necessary to hold a meeting.
c) The Executive Committee will determine the meeting dues annually.

5.2  All official club communications, including meeting notices will be sent via e-mail or regular mail.
5.3 The Executive Committee will conduct an annual planning meeting.

Article VI: Finances
6.1  Income shall primary be derived from membership dues, donations, and fund raising projects. This is a not for profit organization, and all funds will be used to support the objectives of the organizations.
6.2  The treasurer will maintain a monthly financial report to be provided to the Executive Committee and the membership at each meeting.

Article VII: Ownership
7.1  The Carolina's Ford Truck Club is a not-for-profit organization, created solely for the objective stated above. No officer or member, (past or present), shall, (at any time), have any claim against the club nor interest in any funds, equipment or property that has been or may be acquired by the club.
7.2  The club may, fromm time to time, donate excess funds to a charitable organization as recommended and voted on by the membership. In the event that the club should be dissolved or cease to function at any
time, all accumulated funds, equipment and property held by the club will be donated to a charitable organizations as determined by the Executive Committee.

Article VIII: Rules of Order
Robert Rules of order are to be used as a parliamentary authority.

Article IX: Ammendments
9.1  Any and all of these by-laws my be amended by a majority vote at any regular meeting of the club, provided that 10 days notice is given of the intent to so change these by-laws.
9.2  Notice shall be delivered by email or regular mail by the Secretary by order of the Executive Committee.
